Terms of Use

These Terms govern your use of the baeem website and service (the "Service"), operated by Y.S. Software (י.ש תוכנה), Israeli exempt dealer no. 323881417 ("baeem", "we", "us", or the "Operator"). Using the Service creates a binding agreement between you and the Operator. Please read these Terms and the Privacy Policy before use.

1. Acceptance and Scope

Registering, paying, browsing an account-only area, or otherwise using the Service means that you agree to these Terms and the Privacy Policy. If you do not agree, do not use the Service. If you act for another person or organization, you represent that you are authorized to bind them.

These Terms apply, as relevant, to event hosts, account users, guests using a link or communications channel, and website visitors. Any mandatory law that cannot be waived prevails over a conflicting provision.

2. Eligibility and Accounts

Opening an event-host account is limited to people aged 18 and over who can enter into a binding agreement. You must provide accurate, current information, protect your sign-in code, Google account, and other access methods, and promptly notify us of suspected unauthorized use.

Sign-in may use a phone number and one-time code sent by WhatsApp or SMS, or Google. Account activity will be treated as the user’s activity unless unauthorized use is reported promptly. You may not transfer, sell, or rent an account.

3. The Service

baeem is a technology service for event and RSVP management. It may let you build and import a guest list, design an invitation, send WhatsApp or SMS invitations and reminders, collect replies, call guests, plan seating, send table numbers, and add gift links. The Service may include automation and artificial intelligence.

Features, communication channels, and design may change, be added, or be removed. Features dependent on Meta, WhatsApp, an SMS or telephony provider, Google, Stripe, or another third party are also subject to that party’s availability, approval, and limitations. Where reasonably possible, we will notify you of a material change to a Service already purchased.

4. Host Responsibility for Information and Guests

You are responsible for the list, details, files, links, questions, and content you provide or approve for sending. You represent that you may lawfully collect, hold, and disclose guest details and that you will provide any notice and obtain any consent required by law, including for messages, calls, AI use, and call recording.

You must review names, phone numbers, send times, address and navigation link, invitation content, recipients, responses, and seating before relying on them. We are not responsible for the result of inaccurate or incomplete information you supplied or approved.

You may not use the Service for commercial mailing, lead databases, bulk messaging unrelated to a genuine event, harassment, or contact with a person you have no reasonable basis to contact. You must honor a guest’s request to stop messages and handle privacy requests concerning information you uploaded.

5. Messages, RSVPs, and Calls

Messages and calls are made on your behalf and at your request. Delivery and response times are estimates only. A message may be delayed, blocked, classified as spam, or undelivered because of an incorrect number, recipient settings, network availability, provider policy, template limits, sending hours, outages, or another circumstance outside our control.

The Service may analyze replies using automated rules or AI and update RSVP status, party size, or preferences. You must review the results and correct errors. Do not rely on the system as the sole source for a safety, medical, legal, or financial decision.

Calls may be placed by an automated voice agent, recorded and transcribed, and processed by telephony and AI providers to perform, review, and improve the Service. You authorize this use and undertake that contacting and recording guests is lawful. A guest may ask to end a call or update their answer another way.

6. Acceptable Use

You may use the Service only lawfully, personally, and reasonably to manage an event you host or are authorized to manage. You may not violate law or another person’s rights; upload deceptive, offensive, threatening, privacy-invasive, or infringing content; impersonate; send spam; bypass permissions or limits; access, disrupt, overload, or test vulnerabilities without permission; use unauthorized scraping or automation; reverse engineer; resell access; or use output to develop a competing service.

We may remove content, stop a send, restrict use, or suspend an account where we reasonably suspect a breach, harm to guests, a security risk, fraud, non-payment, or a third-party or authority requirement. Where appropriate in the circumstances, we will notify you and allow you to remedy the issue.

7. Price and Payment

You may build an event without charge up to the stage shown in the Service. Enabling sends or paid features requires the one-time or other payment expressly displayed before approval. The price, package scope, and special terms shown at checkout govern that purchase. We will not charge an additional amount without consent or legal basis.

Payment is processed by Stripe or another displayed payment provider. You must use a payment method you are authorized to use. We do not store full card details. A processing failure or decline may delay activation. A lawful accounting document will be issued.

8. Cancellation and Refunds

Send cancellation requests to contact@baeem.co.il with your name, phone number, and details that identify the transaction. Cancellations and refunds will be handled under Israel’s Consumer Protection Law, 1981 and other mandatory law, including special cancellation periods where applicable.

Where a statutory cancellation right applies and cancellation is not due to a defect, nonconformity, or failure to supply on time, we may charge a cancellation fee of up to 5% of the transaction price or ILS 100, whichever is lower, and proportionate payment for a Service already supplied—but only to the extent permitted by law. No cancellation fee is charged for a defect, nonconformity, or failure to supply on time.

Once invitation sending has begun or paid features have been materially used, no voluntary contractual refund is offered beyond rights provided by law. Nothing here limits a non-waivable right.

9. Event Postponement, Change, or Cancellation

If the event is postponed or cancelled, you must update its details and stop scheduled sends promptly. We will make reasonable efforts to let you reschedule and use the remaining Service for the same event, subject to sends already made, costs already incurred, and provider limitations. We do not promise a refund or free repeat performance unless displayed otherwise or required by law.

10. Gifts and Guest Payments

You may add bit or PayBox links. Transfers occur directly in the external service; we are not a party, do not hold the money, and are not responsible for approval, delay, reversal, error, or dispute in that service.

The card-gift service is supplied independently by RSVP, not baeem. RSVP is responsible for registration, identity verification, compliance requirements, processing, fees, refunds, and settlement. Enabling it requires separate acceptance of RSVP’s terms and privacy policy. baeem acts only as a limited interface and technical conduit, and substantive gift or money enquiries will be routed to RSVP.

11. Content and Intellectual Property

All rights in the Service, software, interface, design, brand, and our content belong to the Operator or its licensors. You receive a personal, limited, non-exclusive, non-transferable, revocable right to use the Service during the engagement and under these Terms.

Rights in content you upload remain with you or its owner. You grant us and providers acting for us a limited license to host, copy, adapt, transmit, display, and process that content only as needed to operate and secure the Service and for the purposes in the Privacy Policy. You represent that you have the rights needed to grant this license.

We may use feedback or suggestions to improve the Service without payment or obligation, but will not publish your identity without an appropriate basis.

12. Privacy and Confidentiality

Personal information is handled under the Privacy Policy. You must use information you access through the Service only for the event and lawfully, and limit access to family or team members who need it. Downloading, sharing, or exporting a list transfers responsibility for safeguarding that copy to you.

13. Third-Party Services

The Service relies on third parties, including Convex, Cloudflare, Meta and WhatsApp, ActiveTrail or Twilio, Telnyx, Google, Stripe, PostHog, Sentry, and RSVP. Your direct use of an external service is also subject to its terms. We do not control a third party’s operation, but this does not remove any responsibility the law places on us for the part of the Service we supply.

14. Availability, Changes, and Backups

The Service is provided as is and as available. We use reasonable efforts to maintain availability and proper operation, but do not promise uninterrupted, error-free, or completely accurate operation, delivery of every message, or a particular response rate. Maintenance, updates, outages, cyberattacks, provider changes, and regulatory limits may occur.

You must keep a copy of critical information and export RSVP data before the event. The Service is not a substitute for an independent backup or an alternative way to contact guests.

15. Limitation of Liability

To the maximum extent permitted by law, the Operator is not liable for indirect, consequential, special, or punitive loss; loss of profit, savings, reputation, or data; or loss caused by reliance on an automated result, failure to deliver a message, a third-party service, user content, or force majeure.

To the maximum extent permitted by law, the Operator’s aggregate liability connected with an event will not exceed the amount actually paid for that event. This limit does not apply where liability cannot legally be limited and does not remove a non-waivable consumer right.

16. Indemnification

Subject to law, you will indemnify the Operator for an amount awarded by final judgment or a reasonable expense caused by your material breach of these Terms, unlawful use, content you had no right to use, or unlawful guest outreach. We will notify you of a claim and reasonably allow you to participate in the defense. This does not cover harm for which the Operator is responsible.

17. Force Majeure

We are not liable for delay or failure caused by circumstances beyond our reasonable control, such as war or emergency, authority action, strike, natural disaster, pandemic, power or communications failure, widespread cyberattack, or infrastructure-provider outage. We will take reasonable steps to reduce the impact and restore the Service.

18. Term, Suspension, and Termination

These Terms apply from first use until account closure or termination. You may stop using the Service and request account closure. We may suspend or terminate access for material breach, security risk, misuse, non-payment, a legal requirement, or discontinuation. Where practical, we will give notice and a reasonable opportunity to remedy a remediable breach.

On termination, the right to use the Service ends. Provisions intended by their nature to survive—including accrued payment, intellectual property, privacy, liability limits, indemnity, and governing law—will survive. Information is retained and deleted under the Privacy Policy and applicable law.

19. Changes to These Terms

We may update these Terms because of changes to the Service, providers, or law. The new version will be posted here with a revised date. A material change adversely affecting rights in a Service already purchased will be notified reasonably in advance where feasible and required. Continued use after the effective date means acceptance; if you disagree, stop using the Service.

20. Governing Law and Jurisdiction

Israeli law governs these Terms and the Service. The competent courts of the Tel Aviv–Jaffa District will have local jurisdiction, subject to any law giving a consumer another non-waivable jurisdiction or right.

21. General

These Terms and the Privacy Policy are the general agreement for the Service together with any specific offer or purchase term displayed and accepted. If a provision is unenforceable, it will be narrowed as needed and the rest remains effective. Failure to enforce is not a waiver. You may not assign rights or duties without consent; we may transfer the agreement with a transfer of operations, subject to law and preservation of your rights.
